A general partnership is a form of business operation between two or more individuals where control, management and profits are shared by the “partners”. The partners are personally liable for all debts and obligations of the business (unlimited liability), since a partnership is not considered a separate legal entity. Each partner contributes to all aspects of the business, including money, property, labor or skill. In return, each partner shares in the profits and losses of the business.
A General Partnership Agreement is an important part of forming a General Partnership. It is a written document that details how future business decisions will be made, including how the partners will divide profits, resolve disputes, change ownership by bringing in new partners or buying out current partners, and how to dissolve the partnership.
